Terms and Conditions of Service

Welcome to Plug P2P! These Terms and Conditions of Service (“Terms”) constitute a legally binding agreement between you and Plug P2P, Inc. (“Plug P2P,” “we,” “us,” the “company”, or “our”), governing your access to and use of our website, mobile Platform, and all related offerings (collectively, the “Platform”).
By accessing the Platform (whether or not you register as a user) or by clicking your acceptance of the Terms, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access the Platform.
Important: These Terms include a binding individual arbitration clause, class action waiver, and jury trial waiver. You also waive protections under California Civil Code §1542 or similar laws.
Definitions
- Participants: All users of the Platform, including “Charge Hosts” (offering EV charging services) and “Charge Guests” (seeking EV charging services).
- EV: Electric Vehicle.
- EVSE: Electric Vehicle Supply Equipment (e.g., EV chargers).
- EV Charging Device: Qualified EVSE or outlet.
- Qualified EV Charging Device: An EV charging device that:
- Meets the supported design and electrical specs listed on the Platform
- Is installed or validated by a licensed electrician
- Complies with NEC and all applicable electrical codes
- Services: EV charging and related services offered by Hosts through the Platform.
- Reservation: A booking for Services between a Guest and a Host.
- Total Amount: Full payment due for a Reservation, including taxes, fees, and service charges.
- Payment Method: A valid payment method (e.g., credit card) accepted via Plug P2P’s processor (e.g., Stripe).
- Content: Materials (such as reviews or photos) submitted by users to the Platform.
1. Overview of Plug P2P
Plug P2P provides the Platform as a marketplace enabling Participants to publish, offer, search for, schedule, and pay for EV charging Services, as well as rate and review other Participants with whom they’ve engaged in a transaction. Plug P2P facilitates these interactions but does not own, operate, or manage the Services or charging devices.
Plug P2P is not a party to contracts between Charge Hosts and Charge Guests, nor does it act as an EV charging operator, real estate agent, or insurer. Plug P2P’s role is limited to facilitating transactions and processing payments.
2. Eligibility and Account Registration
- 2.1 You must be at least 18 years old and legally capable of entering into contracts.
- 2.2 To access certain features, you must register an account with accurate, current, and complete information (e.g., name, email, phone number, and payment details) and must keep that information up to date as long as you are a Participant. By providing your information, you give us permission to contact you via email, call, text, and notification.
- 2.3 You are responsible for maintaining the confidentiality of your account credentials and all activities under your account. Notify us immediately at email@plugp2p.com if you suspect unauthorized use.
- 2.4 You may not transfer your account to another party without our prior written consent.
3. Charge Guest Terms
- 3.1 Searching and Booking
- a) Guests may search for Services using filters such as location, device type, cost, and availability. Search results may be influenced by Guest preferences, ratings, responsiveness, and other factors.
- b) Guests understand that Services are offered by Charge Hosts, not Plug P2P. Plug P2P does not verify or endorse Hosts or their listings.
- c) Booking a Reservation requires full payment of the Total Amount in U.S. dollars using a valid Payment Method.
- 3.2 Reservation Details
- a) A Reservation grants a limited license to access the property and charging device during the scheduled time only.
- b) Unauthorized actions like reselling, tampering, or blocking access are prohibited.
- c) Hosts may be present during the reservation. Guests must respect the Host’s property and boundaries.
- d) Guests must follow all applicable laws and local regulations.
- e) Guests must follow all manufacturer safety and usage guidelines.
- f) Cameras are allowed on the Guest’s vehicle/property but are prohibited in restrooms or private Host areas.
- g) Guests must only use the EV charging device specified in their reservation.
- h) Guests must vacate on time and leave the property as they found it.
- i) Guests are liable for overstay penalties or damages.
- 3.3 Cancellations and Refunds
- a) If a Host cancels, the Guest receives a full refund.
- b) Guests who cancel at least 24 hours before the reservation start receive a full refund. Late cancellations may not be refunded.
- c) Issues during a reservation must be reported promptly to email@plugp2p.com. Refunds are subject to Plug P2P’s discretion.
- 3.4 Responsibilities and Risks
- a) Guests are responsible for themselves, their companions (including pets), and any damage caused by their vehicle or personal property.
- b) Guests assume all risks associated with using the Platform and Services, including injury, damage, or incompatibility with their vehicle.
4. Charge Host Terms

4.1 Participation
- a) Hosts may list EV charging devices on the Platform, setting price, availability, and usage conditions. Listings must be accurate, complete, and updated as needed. If information is non-editable, the listing should be deleted and recreated.
- b) Accepting a Reservation creates a direct contract between Host and Guest, and Hosts must deliver Services as agreed.
- c) Hosts must verify reservation times and avoid double bookings or conflicts with blocked dates.

4.2 Independence
Hosts are independent contractors, not employees or agents of Plug P2P. Hosts retain full discretion over their listings and services, subject to these Terms.

4.3 Responsibilities and Risks
- a) Hosts must ensure their EV charging devices and properties are accessible, clearly marked, safe, and operable during reserved times. If needed, Hosts should consult a licensed electrician before listing.
- b) Only qualified devices may be listed. Devices must (i) match the specs supported by Plug P2P, (ii) be properly installed or validated, and (iii) meet all national and local safety codes.
- c) Hosts with multiple devices must clearly identify the specific device associated with each listing.
- d) Hosts are fully responsible for their own actions and those of any co-hosts or helpers. Hosts must ensure their location appears accurately in navigation apps.
- e) Hosts must comply with all applicable laws, codes, and third-party agreements, and must disclose any relevant local ordinances to Guests.
- f) Hosts assume all risks associated with offering Services, including equipment issues, damages, or incidents involving Guests. Appropriate insurance coverage is recommended.

4.4 Cancellations and Changes

5.1 You agree not to use the Platform:
- a) In any way that violates these Terms or any applicable laws or regulations, including export laws or data privacy rules.
- b) To exploit or harm others, including posting defamatory, obscene, abusive, or otherwise objectionable content.
- c) To send unsolicited advertising, spam, or promotional material without consent.
- d) To impersonate Plug P2P, its staff, or another person or entity.
- e) To promote explicit content, violence, or discrimination of any kind.
- f) In any way that could harm Plug P2P or others’ use of the Platform.
- g) In any manner that could damage or impair the Platform or interfere with real-time interactions.
- h) To run promotions, contests, or sales without permission.
- i) Using bots or scrapers to access or copy content from the Platform.
- j) Using manual methods to collect content or interact with the Platform without approval.
- k) By introducing harmful code such as viruses or trojans.
- l) By attempting to hack or gain unauthorized access to any part of the Platform or its infrastructure.
- m) By launching denial-of-service attacks or anything that disrupts system function.
- n) To frame, deep-link, or inline-link the Platform without permission.
- o) In any other way that Plug P2P deems harmful, disruptive, or inappropriate at its sole discretion.

5.1 You agree not to use the Platform:
6. Intellectual Property Rights and Trademarks
- 6.1 You grant Plug P2P a worldwide, perpetual, royalty-free license to use any content you submit or upload to the Platform for purposes related to its operation, promotion, or improvement.
- 6.2 You warrant that your content is lawful, accurate, and does not infringe on third-party rights. Plug P2P may remove any content that violates these standards.
- 6.3 All content on the Platform (including software, text, graphics, videos, and design) is the property of Plug P2P or its licensors and is protected by intellectual property laws.

6.4 You may use the Platform only for personal use. You may not reproduce, distribute, or publicly display content except:
- a) Temporarily storing content in RAM while viewing it.
- b) Caching files automatically by your browser or device.
- c) Downloading one copy of downloadable content for personal use only.

6.5 You may not:
- a) Modify or copy content from the site.
- b) Use images or media separate from the text.
- c) Remove copyright or trademark notices.
- d) Use any part of the Platform for commercial purposes not permitted by these Terms.
- 6.6 The Platform’s content is for general information only. Plug P2P does not guarantee its accuracy or completeness, and use of such content is at your own risk.
- 6.7 No rights to Platform content or technology are transferred to you through your use of the Platform. All rights are reserved by Plug P2P.
- 6.8 The Plug P2P name, logo, and related brand elements are trademarks of Plug P2P. You may not use them without written permission. Other marks belong to their respective owners.

6.9 We reserve the right to:
- a) Remove or refuse content for any reason.
- b) Take action on content that violates these Terms or infringes on rights.
- c) Disclose your identity to third parties if content you post violates their rights.
- d) Take legal action for illegal use of the Platform.
- e) Suspend or terminate your account for violations.
- 6.10 We may cooperate with law enforcement to disclose the identity or information of users who violate laws or these Terms.
7. Payment Terms

7.1 Overview
- a) Plug P2P, through third-party processors (e.g., Stripe), facilitates payments by collecting the Total Amount from Guests and remitting payment to Hosts, minus fees, credits, and applicable taxes.
- b) Payments are processed in U.S. dollars. Participants must provide valid payment and banking information. Plug P2P may earn interest on funds held during payment processing.

7.2 Guest Payments
- a) Guests authorize Plug P2P to charge their Payment Method for the full Total Amount at the time of booking, and for additional charges if necessary (e.g., damage claims).
- b) Refunds are subject to the cancellation policy. Plug P2P is not liable for third-party charges, including currency conversion or bank fees.

7.3 Host Payments
- a) Hosts generally receive payouts within 10 business days after the reservation ends, provided there are no disputes. Hosts are responsible for maintaining accurate payout information.
- b) Plug P2P may adjust or withhold payments in cases of cancellations, suspected fraud, or technical errors. Adjustments may occur due to rounding, reconciliation, or platform limitations.

7.4 Cancellation Policy
- a) Guest cancellations made before Host acceptance are fully refunded.
- b) Cancellations made 24 hours or more before the start time are refunded in full.
- c) Cancellations made within 24 hours of the start time are non-refundable.
- d) If a Host cancels at any time, the Guest receives a full refund.
- e) Reservations that are not completed and not canceled are non-refundable.

7.5 Additional Terms
- a) Participants must comply with all Payment Terms and applicable laws.
- b) Plug P2P may suspend access for investigation or non-compliance at its discretion.
- c) Plug P2P reserves the right (but not obligation) to investigate claims and issue payment adjustments at its sole discretion.
- d) Plug P2P may combine and invest collected Guest funds as permitted by law. Any earned interest belongs to Plug P2P.
8. Termination and Suspension
- 8.1 You may terminate your account at any time by going to your profile settings and selecting “Delete Account.” You may be required to cancel or decline any pending or confirmed reservations before your account can be closed.
- 8.2 Plug P2P may suspend or terminate your account with 30 days’ notice for any reason. Immediate termination may occur without notice if you breach these Terms, violate the law, or pose a risk to the Platform, other users, or Plug P2P.
- 8.3 Upon termination, any provisions of these Terms that are meant to survive will remain in effect. Plug P2P may retain account activity data for at least 24 months or longer as needed for legal compliance, investigations, or enforcement.
9. Dispute Resolution and Arbitration

9.1 Binding Arbitration
You and Plug P2P agree to resolve any disputes through final and binding arbitration under the Federal Arbitration Act. This includes disputes related to these Terms, the Platform, Services, Reservations, or Participants.
- a) All disputes will be resolved individually and not as part of a class or collective action.
- b) Questions about enforceability, scope, or payment responsibility for arbitration are to be decided by the arbitrator.
- c) Exceptions to arbitration include intellectual property claims, emergency injunctive relief, and individual claims of sexual harassment or assault.
- d) If the claim is under $10,000, the arbitration may proceed based on written submissions only.
- e) The arbitrator will issue a reasoned written decision. Any awarded relief must be individualized.
- f) You and Plug P2P waive the right to a trial by jury for any arbitrable dispute.

9.2 Class Action Waiver
- a) All disputes must be handled individually. Class actions and representative proceedings are not permitted.
- b) To the fullest extent allowed by law, you and Plug P2P waive the right to participate in any class action, mass arbitration, or collective legal proceeding.

9.3 Venue
- a) All arbitration will be administered in Oakland County, Michigan, unless both parties agree otherwise.
- b) Hearings for claims under $50,000 may be held remotely. For claims over $50,000, or where in-person proceedings are necessary, they will take place in Oakland County, MI unless otherwise agreed.
- c) Small claims court in Oakland County, Michigan is an available option for eligible disputes.
- 9.4 If any part of this arbitration agreement is deemed unenforceable, that portion will be severed and the remainder enforced to the fullest extent permitted by law.
10. Linking to the Platform and Social Media Features

10.1 You may link to our homepage, provided the link is:
- Fair and legal
- Does not damage our reputation or imply any endorsement or affiliation without our written consent

10.2 The Platform may offer social media features that allow you to:
- Link to content from your own or third-party platforms
- Send emails or other communications containing Platform content
- Display limited content on your own or others’ sites as permitted
These features must be used as provided by Plug P2P and in accordance with any additional terms we specify.

10.3 You must not:
- a) Link from a website you do not own
- b) Frame or inline-link our content without permission
- c) Link to any page other than the homepage or splash page
- d) Misrepresent or misuse Platform content
- 10.4 The site linking to our Platform must comply with all applicable Content Standards outlined in these Terms.
- 10.5 You agree to cooperate with Plug P2P in removing any unauthorized links or framing.
- 10.6 Plug P2P may disable any social media feature or link at any time without notice and at its sole discretion.
11. Links from the Platform
The Platform may contain links to third-party websites or resources, including advertisements, banner links, or sponsored content. These links are provided solely for your convenience.
Plug P2P has no control over the content or availability of those external websites or resources and accepts no responsibility for them. If you choose to access a third-party website linked from our Platform, you do so entirely at your own risk and subject to that website’s terms and conditions.
12. Geographic Restrictions
The Platform is owned and operated by Plug P2P from the State of Michigan in the United States. It is intended for use by individuals located within the United States only.
We make no representation that the Platform or its content is appropriate or available for use outside the United States. Accessing the Platform from territories where its contents are illegal is prohibited.
If you access the Platform from outside the United States, you do so on your own initiative and are responsible for compliance with all applicable local laws. Plug P2P is not liable for any use of the Platform outside the U.S.
13. Legal Disclaimers and Limitations
- 13.1 Disclaimer of Warranties
- a) The Platform and all content are provided “as is” and “as available,” without warranties of any kind. Plug P2P disclaims all express or implied warranties, including merchantability, non-infringement, and fitness for a particular purpose.
- b) Plug P2P does not guarantee the safety, compatibility, legality, availability, or uninterrupted access of the Platform, Services, or content. Your use is at your own risk.
- c) We do not warrant that the Platform or downloadable content will be virus-free. You are responsible for antivirus protection and maintaining backup copies of your data.
- d) Any statutory rights or warranties you may have are limited to the maximum extent allowed by law.
- 13.2 Limitation of Liability
- a) Plug P2P (including affiliates and personnel) will not be liable for any incidental, special, or consequential damages, including lost profits, data loss, system failure, injury, or emotional distress arising from your use of the Platform or Services—even if advised of such damages.
- b) You waive protections under California Civil Code §1542, which states that a general release does not extend to unknown claims that may have affected a settlement.
- c) To the fullest extent permitted by law, Plug P2P’s total liability will not exceed:
- $100 for non-paying users,
- The amount you paid as a Guest in the last 3 months, or
- The amount paid to you as a Host in the last 3 months — whichever applies.
- 13.3 Limitation on Time to File ClaimsAny claim related to the Platform or these Terms must be filed within one (1) year of the event giving rise to the claim. After that, the claim is permanently barred.
- 13.4 IndemnificationTo the maximum extent permitted by law, you agree to release, defend, indemnify, and hold harmless Plug P2P (including payment partners, affiliates, and their staff) from any claims, liabilities, or damages arising from:
- Your breach of these Terms or related policies
- Your misuse of the Platform or Services
- Your interactions or disputes with other Participants
- Failure to properly report or remit taxes
- Your violation of applicable laws or third-party rights
14. Governing Law
These Terms and any related disputes shall be governed by and interpreted in accordance with the laws of the State of Michigan, without regard to conflict of law principles.
Any legal action, suit, or proceeding arising from or related to these Terms or the Platform must be brought exclusively in the state or federal courts located in Oakland County, Michigan. You waive any objection to the jurisdiction or venue of such courts.
15. Miscellaneous
- 15.1 Additional terms may apply to certain services or features. All such terms are incorporated into these Terms by reference.
- 15.2 Force Majeure: Plug P2P is not liable for any failure or delay in performance due to events beyond its reasonable control, including natural disasters, government actions, strikes, pandemics, or disruptions in utilities or communications.
- 15.3 Survival: The following sections will survive the termination of your account: Definitions, Responsibilities and Risks, Cancellations and Changes, Taxes, Content Standards, Intellectual Property Rights, Payment Terms, Dispute Resolution, Geographic Restrictions, Legal Disclaimers, and Governing Law.
- 15.4 Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
- 15.5 Notices: Official notices from Plug P2P will be sent via email or through in-app notifications.
